Electronic Filing

As of June 30, 2003, all directors, officers and greater than 10% beneficial owners are now required to submit their Forms 3, 4 and 5 electronically to the SEC.

To file electronically via EDGAR, individual persons, not companies, must have EDGAR access codes (CIK, CC). (Find out more about EDGAR access codes).

Section 16 Forms 3, 4 and 5 can be filed through Bowne's self-filing solution, BowneFile16 or our full-service filing option featuring Microsoft® Excel® templates.

Web Posting

Also as of June 30, 2003, companies must now post their Section 16 forms on their Web site or provide a hyperlink to a third-party Web site (such as the SEC's) where the forms are posted. Posting must be done within one business day of filing with the SEC.

For more details on the rules involving electronic filing and Web posting requirements, read the SEC release, as well as the May 8 and June 6, 2003 issues of EDGAR Monitor, Bowne's regulatory alert posted in the Regulatory Developments section of SecuritiesConnect (and also available by subscription free of charge).
